Iran – Argentine Friendship Association Articles of Association


Introduction


Regarding the historical and cultural grounds and records and the necessity to create the ground of friendship and peace among nations and the interest in friendly ties and appropriate, logical, customary and favorite relationship among states and create stability and sustainability of these types of relationship and enjoying the vital consequences of peace and friendship, this association is incorporated.

Chapter 1- Generalities and Objectives

Article 1

The name of people organization is the Iran-Argentine, which is briefly referred to as Association in this articles of association.

Article 2

Nature of activity: all activities of the association are nonpolitical, nonprofit and non-governmental and in the object of the friendship articles of association, the parties shall act in full observation of rules and regulations of the Islamic Republic of Iran and this Articles of Association.

Article 3

The scope of activity of the association is in national and intranational level.

Article 4

Location: the head office of association in the province: Tehran- No. 1914, after Pol Roomi, Shariaiti, and if necessary, they may establish representation upon receiving permission from the ministry of the interior according to regulations, inside the country or abroad.

The association is citizen of the Islamic Republic of Iran and its members shall abide by the constitution of the Islamic Republic of Iran.

Article 6

Duration of activity of association: unlimited from the date of establishment.

Article 7

The initial asset of association including movable and immovable property is 1,500,000 Rials which has been paid in full by the founding board and provided to the association.

Article 8

The founding board of association consists of people who have taken measure to provide the arrangements of incorporation of the association and after establishment shall have no responsibility whatsoever.

Article 9

The objectives of association

1-    To strengthen and expand friendly ties and brotherhood among the people of two states.

2-    To promote the shared objectives of two nations in cultural, academic, technical, literary fields and provide the grounds for economic activities.

Article 10

Chapter 2- Structure

The pillars of association are:

1-    General assembly of members. 2- Board of directors. 3- Managing director (secretary). 4- Inspector

Article 11

The founding general assembly is the founding board with the following duties:

1-    To take initial measures for establishment of association.

2-    To provide the plan of association and its approval

3-    The choose the first managers and inspectors

Note 1- the required majority vote for establishment of the founding general meeting shall be for the first time half of members plus one member, and in case of no quorum, the second time, one-thirds of members shall make the meeting official.

Note 2- Decisions of general meeting and the founding board shall be adopted by majority of two-thirds of present votes and with approval of the ministry of the interior and the ministry of foreign affairs.

Note 3- The founding general assembly shall be held under supervision of representatives of the ministry of foreign affairs and the ministry of the interior.

Article 12

Ordinary general meeting

The general meeting shall consist of all members and the highest decision making authority that will be held ordinarily or extraordinarily.

Article 13

The annual general meeting shall be held in August. The meeting shall be in quorum upon presence of half plus one member in the first time, and shall be in quorum with presence of any number of members in the second time.

Note 1- the majority required for taking decision in the ordinary general meeting shall be half plus one vote present in the meeting unless with regard to choosing managers or inspectors which will be elected by majority votes. In case in the first invitation, the majority is not achieved, the second meeting shall be held at least once each 15 days and shall become official with any number of members present in the meeting.

Note 2- the Ordinary general meeting shall be held extraordinarily at any time upon application of the board of directors or inspector(s), or request of one-fifth of members- in case the board of directors or inspector do not act within 20 days at the request of members to hold general meeting.

Note 3- Invitation to hold general meetings after coordination and obtaining approval of the ministry of the interior and the ministry of foreign affairs shall be made through inserting notice in the widely circulated daily at least 15 days and at most 30 days before holding the meeting and with written invitation.

Note 4- Widely circulated daily for publication of notices shall be Iran Daily.

Article 14

Duties of ordinary general meeting

1-    Choosing members of the board of directors and inspector (principal and alternate)

2-    Hearing and investigating to the report of the board of directors and inspector(s)

3-    Determining general policy of the association

4-    Studying and confirming or rejecting suggestions of the board of directors.

5-    Approving balance sheet and budget of association

6-    Determining widely circulated daily for publication of notices and invitation letters

7-    Determining membership fee

8-    Dismissing the members of the board of directors and inspectors

9-    Approving publications

Article 15

Extraordinary general meetings

The extraordinary general meeting shall be held with the following conditions:

1-    Upon request of majority of members of the board of directors or inspector;

2-    Upon request of one-fifth of members if the board of directors or inspect do not act within 20 days upon request of members to hold general meeting.

Note 1- The majority required for holding extraordinary general meeting for the first time shall be the same conditions as required for ordinary general meeting, while it will be held with presence of one-thirds of members with the right of vote.

Note 2- Decisions of extraordinary general meeting shall be valid with the votes of two-thirds of members present in the meeting.

Article 16

Duties of extraordinary general meeting

1-    Confirming the changes in the articles of association

2-    Studying and confirming or rejecting dissolution of association

3-    Changing the amount of capital

4-    Dissolution before due date

5-    Any change in nature

Article 17

The general meetings shall be managed by a board consisting of a chairman, a secretary and two supervisors.

Note 1: Members of the board of directors should not be elected from among the candidates of the board of directors and inspectors, who shall be elected upon notifying their acceptance of being candidate in general meeting.

Note 2: Chairman of the board of directors shall act as chairman of the general meeting’s directors board unless if the case is appointing or dismissing the board of directors.

Note 3: Ordinary meetings, ordinary meetings held extraordinarily, and extraordinary meetings shall be held under supervision of the ministry of the interior and the ministry of foreign affairs.

Note 4: The adopted decisions shall be in effect after confirmation of the said supervision authorities.

Article 18

The board of directors

The association has a board of directors consisting of 5 principal members and 2 alternate members.

Note 1- The meetings of the board of directors shall be in quorum with presence of half members and the adopted decisions with majority of votes present.

Note 2- Members of the board of directors shall be obliged to be present in meetings and absence of each member without a justified excuse and without prior notification until 3 consecutive meetings or 5 consecutive meetings in a year shall be regarded as resignation of the absent member.

Note 3- Inviting members of the board of directors shall be made at least two days before holding the meeting legally.

Article 19

In case of resignation, death or disqualification of each of members of the board of directors or inspector, the alternate member shall discharge duties for the remainder tenure of the board of directors or inspector instated of principal member. In case the board of directors or inspector becomes less than the principal members, and entry of alternate members do not complete it, reelection shall be made appropriately ordinarily or extraordinarily in due legal term to complete the remaining number of members.

Article 20

In addition to the meetings that are regularly held at least twice every month, the board of directors shall hold meetings if required, upon written invitation or telephone invitation of chairman or vice-chairman.

Article 21

Members of the board of directors shall elect a chairman and a vice-chairman and a treasurer within one week of their election, with scope of power according to the articles of association or the bylaw that will be approved by the members’ general meeting.

Note 1- The board of directors shall elect a person as managing director, either from board members or outside the board members, and the scope of authorities and tenure and remuneration shall be determined.

Note 2- The managing director (secretary) could not act as chairman of the board of directors at the same time unless with approval of three-fourth of votes present in the general meeting.

Note 3- The board of directors may at any time dismiss the said persons from their positions.

Note 4- If required the board of directors may assign other positions for other members of the board of directors.

Note – No one could assume membership in the board of directors and inspecting position of more than one friendship association.

Article 22

The board of directors shall be assigned for two years. Their reelection for the next tenures shall have no prohibition.

Article 23

The board of directors shall be the legal representative of the association with duties and authorities in the framework of the articles of association as follows:

To protect and take care of the movable and immovable assets, to investigate to accounts, to pay debts and collect claims, to effect the approvals of the general meeting, to open account in banks through legal formalities, to follow up judicial, administrative and judicial procedures in all legal stages in courts, to determine arbitrator and attorney and dismiss them, to solve the disputes through compromise, conciliation and if necessary to delegate power and to assign all or part of powers to any other person including legal or real with the right of substitution and all duties that have been assigned to the board of directors. In general the board of directors may take any appropriate measure that it may deem necessary about transfer of all movable assets that entail approval of general meeting, after confirmation of meeting in the name of association.

Also the board of directors shall be bound to invite the ordinary general meeting to elect the board of directors and new inspector three months before expiry of his term of office. The board of directors shall make necessary coordination with the ministry of the interior regarding time and place of meeting before inserting notice in the widely circulated daily to hold the general meeting and the agenda of the meeting, and shall provide a complete list of members of the association one week before holding the meeting at least 40 days before expiry of his tenure, and also the results of elections.

Note 1- With the exception of the issues for which decision has been adopted according to provisions of this articles of association and taking measure about them is within the qualification of the general meeting of members, the board of directors shall have all powers required to manage the affairs conditional on observing the scope of objectives and the articles of association.

Note 2- Upon confirmation, the board of directors may take appropriate measure to perform transaction or pay the current fees of the association up to 1000000 Rials without approval of general meeting.

Article 24

The association has one principal inspector and one alternate inspector elected for one year. Reelection of inspector shall have no prohibition.

Article 25

The following members may not be elected as inspector.

1-    Those who have been deprived from their social privileges in whole or in part due to committing crime and by virtue of an irrevocable verdict from the court.

2-    Managers and managing director;

3-    Relative and casual relatives of managers and managing director up to third grade from first and second classes;

4-    The wives of the people mentioned in paragraph 2.

Article 26

Duties of inspector:

1-    Study of all financial papers and documents and providing report for general meeting.

2-    Study of annual report of the board of directors including financial and non-financial and prepare activity report for information of general meeting.

3-    Reporting any kind of violation of the provisions of the articles of association by the board of directors to the general assembly.

4-    Providing written notification about accuracy of statement of assets, performance, topics and information that the board of directors and managers have provided to the general meeting.

5-    Other duties that the articles of association and the concerned rules and regulations have dictated to the inspector.

Note: the inspector may without the right of voting take part in the meetings of the board of directors.

Article 27

The inspector may at any time, make any kind of investigation and inspection about the activities of the association and request for the related deeds and documents and information for investigation and if required apply for holding extraordinary meeting of the general meeting.

Article 28

The board of directors, managing director (secretary) and inspectors shall perform their duties until when their substitute has not been elected by the general meeting.

Article 29

The managing director is the highest executive authority in the association which shall be regarded as representative of the association, on behalf of the board of directors and the articles of association, and shall sign on behalf of association.

Note 1- Dismissing managing director (secretary) is one of the authorities of the board of directors that should be documented.

Note 2- Tenure of managing director (secretary) shall not exceed the tenure of the board of directors but his reelection shall be authorized according to regulations of this articles of association. Upon expiry of tenure, managing director shall be bound to discharge the duties until assigning substitute.

Note 3- All negotiable papers and instruments shall be valid with signature of managing director and treasurer and in absence of treasurer, with signature of

chairman of the board of directors under seal of association.

Article 30

Managing director (secretary) shall be executive of approvals of the general meeting and board of directors with the following authorities and responsibilities.

1-    To legally represent I official authorities and foundations against real and legal persons.

2-    To employ and dismiss and appoint employees within the scope of rules and regulations and approvals and with confirmation of the board of directors.

3-    To maintain assets, properties, accounts, documents and books of association.

4-    Enforcing all authorities that have been delegated case by case or periodically by the board of directors.

5-    Provide the board of directors with required recommendations to expand, improve and coordinate in the activities of association for presentation to the general meeting.

6-    To provide draft of balance sheet, budget, policy, and annual report for study of the board of directors and sending to the general meeting.

7-    To provide the draft of bylaws if required for planning and decision making in the board of directors;

8-    To supervise and coordinate in activities of branch, agencies, and offices after legal formalities.

9-    To propose for holding the meetings of extraordinary general meeting by mentioning the reasons for confirmation to the board of directors.

10-   To perform all duties and authorities that have been assigned or may be assigned to the managing director (secretary) according to articles of association and concerned rules and regulations.

Article 31

The managing director’s salary and allowances shall be determined by the board of directors.

In case managing director (secretary) is not among the members of the board of directors, he shall act in the meetings of the board of directors without the right of voting.

Article 32

Committees:

The association has four main executive committees established for realization of the objectives of association, and their heads shall be elected for two years by the board of directors. Note: Tenure of members of committees should not exceed tenure of the board of directors.

Article 33

The main executive committees are:

1-    Cultural art committee

2-    Academic-technical committee

3-    Social-communication committees

4-    Economic-commercial committees

Note: the number and title of committees may increase upon discretion and recommendation of the board of directors or one-thirds of the members of association and confirmation of the ministry of foreign affairs and approval of the general meeting.

Article 34

The objectives and duties of art-cultural committee

1-    To provide the grounds of exchanging cultural- art boards

2-    To provide the required grounds for exchanging radio, TV, movie and music programs;

3-    To hold meetings for introducing scholars, poets, bookmen, and authors of two states.

4-    To translate ad print the works and articles of authors, scholars, poets and artists of two states;

5-    To hold book, photo, painting, handicraft exhibitions;

6-    To hold ceremonies and national and religious occasions of two states to strengthen friendship between two nations;

7-    To propose effective and useful recommendations for expansion of language and literature of two states.

8-    To establish relationship with the scholars, professors, students, and graduates of two states;

9-    To hold various memorials and grant special prizes to the elites of two states;

10-                       To provide the conditions for exchanging sport teams and make facilities for holding sport and educational courses and to exchange know how of teachers, and help to facilitate coordination among sport federations of two states.

11-                       To help development of tourism teams among the people of two states.

12-                       To establish relationship and cooperation with concerned governmental and non-governmental systems of two states for realization of the said objectives;

Article 35

Duties and objectives of technical-academic committee

1-    To try to establish ties for exchanging boards of scholars, professors, graduates and students of two countries;

2-    To hold conferences to exchange opinion among the professors and faculty members of universities of two states;

3-    To help for translation and authoring of scientific, academic, research books to expand academic relations of both states;

4-    To help exchanging related information to carry out research and study works of two states;

5-    To identify and introduce the scientific personalities and academic institutes of two states;

6-    To exchange book, press, and scientific and research magazines of two states;

7-    To try to solve the academic, research problems of researchers and authors of two states through making relationship with scientific and research centers of two states;

8-    To take appropriate measures to provide the grounds for granting academic scholarship to students of two countries and  help holding the training courses

9-    To cooperate and make relationship with governmental and non-governmental organizations of two states for realization of the said objectives.

Article 36

Duties and objectives of social-communication committee

1-    To try to develop relationships through making relationship between the distinguished personalities of two states;

2-    To provide the ground of promoting mass media for preparing articles and audiovisual programs of various evolutions and events of two states;

3-    To provide information by using mass media available for identifying and introducing two states according to rules and regulations;

4-    To establish reciprocal ties among non-governmental organizations of two states after conformation of the ministry of the interior and ministry of foreign affairs and upon observing rules and regulations of the country;

5-    To try and take appropriate measure for proper information to neutralize improper news and reports against Islamic republic of Iran

6-    To try to develop social relations among two states;

7-    To cooperate and communicate with governmental and non-governmental

8-    authorities of two states for realization of above objectives.


Article 37

Duties and objectives of economic- commercial committee

1-    To hold conferences and assemblies for expansion of industrial and commercial ties between two nations;

2-    To help holding industrial and commercial exhibitions between two states;

3-    To try and endeavor to facilitate expansion of commercial and industrial relations of two states through creating ties among businessmen, and owner of industries of two states;

4-    To provide and disseminate information required by businessmen, owners of industries, and chamber of commerce of two state.

5-    To try and cooperate for appropriate and balanced expansion of economic relations of two states:

6-    To cooperate with concerned governmental and non-governmental organizations of two states for realization of the said objectives;

Article 38

General membership conditions: admission and observation of articles of association, nationality of the Islamic republic of Iran, to pay membership fee, not being deprived from social rights, believing in the Islamic republic of Iran and approvals of the board of directors.

Special conditions: enjoying academic education and useful experiences in relation with two states, from the Iranians graduated from the universities of that country. The graduates of the universities of Iran in the field of literature and language of that country, the researchers that have made studies in relation with that country, the experienced people in economic, social and political fields or the Islamic republic of Iran diplomats, and or the representatives of the Islamic consultative assembly.

Note: membership of people shall be subject to general conditions and at least one of the special conditions and the board of directors shall be bound to immediately notify the particulars of members to the ministry of the interior and the ministry of foreign affairs.

Types of membership;

1-    Permanent membership; is a kind of membership in which the member shall at least have one of the specialized conditions mentioned below in addition to all general conditions, and its membership approved by the ministry of foreign affairs.

2-    Elective membership: is a kind of membership pin which the member has all general conditions except payment of membership fee and without specialized conditions. The interested individuals to expand relationships of two states that are not qualified for main membership may be accepted as honorary member. The honorary member shall have no right to vote and could not have any membership in the board of directors and inspecting.

Chapter 3- Budget and Miscellaneous

Article 39

The budget of the association shall be supplied through collaboration and cash and kind help of real and legal entities, gifts, donation, membership fee and other legal and authorized activities according to the articles of association.

Article 40

The association shall be bound to provide the ministry of the interior and the ministry of foreign affairs with income and expenses of association with registration in legal books and description of balance sheet along with executive activity report up to two months after each fiscal year. If such authority fails to provide such financial or executive report during the year, the association shall be bound to provide it.

Note 1- The board of directors shall be bound to open bank account in the name of association in one of the official banks and spend the annual income on the objectives and duties as per articles of association. If surplus amounts are available, they shall be kept in the same account.

Note 2- The fiscal year of association shall be according to solar calendar and shall always end to November with the exception of first fiscal year to begin from the date of establishment until March of the same year. All documents, files and correspondences shall be kept in the head office.

Note 3- Official correspondence of the association shall be made with signature of managing director (secretary).

Note 4- Approvals and minutes of the board of directors shall be recorded in special books by the order of date, and signed by concerned members.

Article 41

The board of directors shall be bound to provide the ministry of the interior and ministry of foreign affairs with any recommendation to change or amend the articles of association. In case of approval of the ministry of the interior and ministry of foreign affairs, the board of directors shall have it confirmed by general meeting and notify the result to the ministry of the interior for administrative formalities.

Article 42

The board of directors shall be bound to notify the changes of address, including location, contact number and emails of association to the ministry of the interior and ministry of foreign affairs.

Article 43

The association shall have the letterhead or seal or special emblem, which its text shall be provided with approval of the board of directors according to regulations. The board of directors shall be bound to send the sample letterhead, seal and emblem to the ministry of the interior.

Note- the board of directors shall have legal responsibility to protect the seal and emblem.

Article 44

Dissolution: in case of dissolution of eh extraordinary general meeting association, at least 3 people shall be elected as settlement board and this board shall be bound to investigate to accounts, settle debts, and collect the remaining receivable amounts and determine tangible assets like moveable and immovable ones, to have them approved by extraordinary general meeting, which shall be bound to provide the ministry of foreign affairs and ministry of the interior with the result.

Note 1- The extraordinary general meeting shall be bound to transfer the asset of the organization after dissolution and supervision of the ministry of the interior and ministry of foreign affairs to one of the NGOs with the subject of similar activity.

Note 2- Settling the affairs related to association shall be made according to provisions of the articles of association and the related regulations.

Note 3- The liquidation board shall assign one member as liquidation manager.

Note 4- Liquidation manager shall be bound to provide a copy of association’s liquidation report to the ministry of interior and registration of companies office.

Article 45

If the activities of association need obtaining special permit from governmental authorities, the association shall be bound to obtain permit accordingly.

Article 46

For commitment of association to the regulation for realization of the objectives and duties of association and concerned committees, and observing regulations, the association shall always act according to rules, regulations, and bylaws of country and manual of the ministry of foreign affairs and ministry of the interior about the friendship association.

Article 47

The cases not foreseen in this articles of association shall be decided upon based on the concerned regulations and generalities of commerce law.

Article 48

This articles of association includes 1 introduction, 3 chapters and 48 articles and 40 notes and signed by founding board on May 17, 2009.
